Year-End Business Checklist 2026: LLCs, Corporations, and Property Transfers

Year-End Business Checklist 2026: LLCs, Corporations, and Property Transfers

Updated January 2026

As 2026 comes to a close, now is a good time to take care of any unfinished business documents and prepare for the new year.

At Laguna Legal, we help clients with LLC and corporation formations, business closures, entity conversions, and real estate document preparation.

If any of the following items are still on your To Do List, we can help you get them taken care of before 2027!

  1. Need to Close an LLC or Corporation Before Year-End?

If you have an LLC or corporation that is no longer operating, now is the time to consider closing it.

In California, simply stopping business operations does not automatically terminate an LLC or corporation. You must properly dissolve or cancel the entity with the California Secretary of State and meet applicable tax filing requirements.

Completing the process before the end of 2026 may help you avoid additional annual taxes and filing obligations in 2027, depending on your circumstances.

  1. Planning to Start a New LLC or Corporation in 2027?

Has your accountant or CPA recommended establishing an LLC or corporation, but you’ve been putting it off?

We can help you prepare the necessary documents now and, where permitted, arrange for a January 1, 2027 effective date.

Starting the new year with your business entity properly established can make accounting, recordkeeping, and tax planning easier. Keep in mind that tax deductions depend on the nature of your expenses and applicable IRS rules, not simply the date your business is formed.

  1. Need to Transfer Property Into or Out of an LLC or Corporation?

If you own real estate that needs to be transferred into or out of an LLC or corporation, consider completing the necessary documentation before year-end.

These transfers typically require a properly prepared and recorded deed. Depending on the ownership structure, a transfer may also affect property taxes, trigger reassessment, or qualify for an exclusion.

We can assist with preparing and electronically recording the necessary real estate documents.

  1. Considering Converting Your LLC to a Corporation?

If your CPA has recommended converting your LLC to a corporation for tax or business purposes, we can help prepare the required documents.

In some cases, an LLC may also qualify to elect S corporation tax treatment without changing its underlying legal structure.

Consult your CPA to determine which option makes the most sense for your business before proceeding.
